Interpretation and Definitions

Interpretation

The words with initial capital letters have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

Definitions

For the purposes of these Terms and Conditions:

Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority.
Country refers to: United Arab Emirates.
Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Flippy, operated by SHAY GROUP FZE LLC.
Device means any device that can access the Service such as a computer, mobile phone, or tablet.
Service refers to the Website and Membership platform.
Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding use of the Service.
Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third party that may be displayed, included or made available by the Service.
Website refers to Flippy, accessible from https://flippyworld.com.
Membership means the subscription plan purchased by You which provides Tokens to access and use Flippy’s library of Goods under a rental model.
Tokens means the digital credits allocated under Your Membership that represent the borrowing value of Goods. Tokens are released when Goods are Returned and can then be reused for new Picks.
Pick means the process by which You select Goods from the Flippy library using available Tokens.
Play means the rental and use of Goods by You during the active period of Your Membership.
Swap means the act of Returning one or more Goods and using the released Tokens to Pick new Goods.
Return means the process of sending Goods back to Flippy, either for a Swap, Membership cancellation (where permitted), or at the end of use.
You means the individual accessing or using the Service, or the company/other legal entity on whose behalf such individual accesses or uses the Service, as applicable.

Acknowledgment

These are the Terms governing the use of this Service and the agreement that operates between You and the Company. These Terms set out the rights and obligations of all users regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms. If You disagree with any part of these Terms then You may not access the Service.

You represent that You are over the age of 18. Flippy Memberships are intended only for adults (parents/guardians). The Company does not permit those under 18 to hold a Membership.

Your access to and use of the Service is also conditioned on Your acceptance of and compliance with the Company’s Privacy Policy and Return & Refund Policy. Please read our Privacy Policy carefully before using our Service, as it explains how we collect and process personal data (including for orders, deliveries, and token administration).

Links to Other Websites

Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such websites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.

Membership Rules

Membership Access

Membership provides You with access to Flippy’s library of Goods through a token-based rental system.
Memberships are personal to You and non-transferable. Tokens, account access, and Goods cannot be shared, sold, or transferred to another person or entity.

Tokens Lifecycle

Tokens are awarded as lifetime tokens when You sign up for a Membership. Tokens do not renew monthly.
Tokens represent the borrowing value of Goods and are deducted when Goods are Picked.
Tokens are valued against the manufacturer’s recommended retail price (MRP) of Goods.
Tokens may be discounted if Goods are made available by our distributors at a lower price.
Flippy does not match retailer-specific discounts, as retailers may extend promotions or special offers independently.
Tokens are released back to Your account once Goods are Returned in accordance with the Return & Refund Policy.
Tokens remain reserved if Goods are missing, damaged, or not fully returned, until the matter is resolved.
Tokens do not expire while Your Membership is active but will expire permanently upon cancellation or termination of Membership.

Borrowing and Limits

The number of Goods You may Pick at any one time is limited by the total number of Tokens included in Your Membership plan.
Goods may be kept as long as You remain a Member, subject to Return and Swap conditions.
Members must ensure timely Returns when swapping Goods, to allow Tokens to be released and reused.

Responsibility for Goods

You are responsible for Goods from the time they are delivered to You until they are Returned to Flippy.
Missing parts, damaged, or fully broken Goods will be assessed according to the part list pricing and replacement cost rules in the Return & Refund Policy.
Failure to Return Goods may result in Tokens being permanently forfeited and Membership suspension or termination.

Cancellation and Token Availability

You may not cancel Your Membership if any Goods remain rented, or if Tokens are held due to missing or damaged Goods.
Cancellation will only be accepted once all Goods are Returned and Your lifetime Tokens are fully available in Your account.
Outstanding balances or compensation charges must be cleared before cancellation can take effect.

Process of Rental

Ordering Goods

Goods can be ordered from the Flippy library using Your available Tokens.
Each Good has a token value assigned by Flippy based on its MRP and applicable distributor pricing.
Once a Pick is confirmed, the corresponding Tokens are deducted from Your account until the Good is Returned.

Delivery and Collection

Goods will be delivered to the delivery address specified in Your Account.
You are responsible for providing accurate delivery details and being available to accept delivery.
Collection of Goods for Returns or Swaps will be scheduled in coordination with You through our agreed communication channels.

Play Period

You may keep Goods for as long as Your Membership is active, provided Your account remains in good standing.
Goods must be used in accordance with their intended purpose and with reasonable care.
You are responsible for ensuring Goods are stored safely and kept away from hazards that may cause damage or excessive wear.

Swap and Return

When You are ready to Swap Goods, You must schedule a Return with the Company.
Returned Goods must include all parts, accessories, and packaging, as set out in the Return & Refund Policy.
Once Goods are received, Tokens will be released back into Your account, subject to inspection.
Tokens remain reserved if Goods are dirty beyond routine cleaning, missing parts, or damaged, until resolution is agreed.

Token Release and Reuse

Tokens are reissued only after Returned Goods have been inspected and approved by the Company.
If any compensation charges apply for missing or damaged Goods, these must be settled before Tokens are released.
Tokens may then be reused to Pick new Goods and continue the cycle of rental.

Termination

We may terminate or suspend Your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms.

Upon termination, Your right to use the Service will cease immediately. Any Membership benefits (including Tokens) may be forfeited in accordance with these Terms and our applicable policies.

In such cases, the Company will not be liable to refund any Membership amounts already paid, and any future monthly charges will be stopped.

Voluntary Cancellation by You

You may request to cancel Your Membership at any time by notifying Us via support@flippyworld.com.

Cancellation will only be possible if all Goods have been Returned and Your lifetime Tokens are fully available in Your account.
If any Goods remain rented, or if Tokens are held or reserved due to missing/damaged Goods, cancellation will not be processed until the matter is resolved.
Outstanding balances or compensation charges (as set out in the Return & Refund Policy) must be cleared before cancellation can take effect.
Once eligible, cancellation will take effect at the end of Your current billing cycle unless otherwise agreed in writing.
Any unused Tokens or Membership benefits will expire at the time of cancellation and cannot be transferred or refunded.
The Company will not provide refunds for any Membership amounts already paid, but will ensure that no further charges are collected after the effective cancellation date.

Limitation of Liability

To the maximum extent permitted by applicable law:

The total liability of the Company and any of its suppliers under any provision of these Terms shall be limited to the total Membership fees actually paid by You to the Company in the twelve (12) months preceding the event giving rise to the claim, or USD 100 (or AED equivalent) if You haven’t purchased anything through the Service.
In no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, loss of profits, loss of data, loss of goodwill, business interruption, personal injury, or loss of privacy) arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, the availability of Goods, courier delays, or otherwise in connection with these Terms, even if advised of the possibility of such damages and even if a remedy fails of its essential purpose.

Token Valuation Disclaimer

Tokens are valued against the manufacturer’s recommended retail price (MRP) of Goods.
Token values may be discounted if Flippy’s distributors extend such discounts.
Flippy does not match retailer-specific discounts or promotional offers, as external retailers may independently set prices or run promotions beyond Flippy’s control.
Members acknowledge that perceived differences in retail pricing do not affect the token valuation set by Flippy.

Some jurisdictions do not allow certain limitations of liability; in such cases, these limitations apply to the fullest extent permitted by law.

“AS IS” and “AS AVAILABLE” Disclaimer

The Service and Goods are provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service and the Goods, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice.

Without limiting the foregoing, neither the Company nor any of the Company’s providers makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. In such case, the exclusions and limitations shall be applied to the greatest extent enforceable under applicable law.

Governing Law

These Terms and Your use of the Service shall be governed by the laws of the United Arab Emirates, excluding its conflict of law rules. Your use of the Service may also be subject to other local, national, or international laws.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at support@flippyworld.com.

Severability and Waiver

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Waiver

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.

Translation Interpretation

These Terms and Conditions may have been translated if We have made them available to You on our Service. You agree that the original English text shall prevail in the case of a dispute.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect (for example by email or a notice on the Website). What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Website and the Service.
